General Sales Conditions

• The customer recognizes to have taken notice of these general conditions and explicitly accepts them without any reservations. He commits himself to abiding by these conditions. Unless stipulated otherwise by the customers in a written  statement, all the agreements are subject to the current general conditions. 
• Our general conditions and special sales conditions are considered to be accepted by the customer, even if they should conflict with his own general or special purchase conditions. 
• Our consent can in no case be deducted from the fact that we have accepted the agreement without disputing those conditions. 
• Every order form signed by the customer commits him unconditionally.
• Synaps reserves the right to change the unitprice of the subscriptions, on condition that the introduction of the new prices is announced at least six months in advance.
• As a distributor of MOS-exams, e-learning, virtual class environments and diagnostic tests, Synaps cannot be held responsible for technical deficiencies that fall under the responsiblity of the supplier or manufacturer. Synaps will nevertheless do the utmost to ensure an optimal delivery of these services. 
• The invoices shall be fully paid on the account number 210-0201900-95, unless stipulated otherwise by the customer at the moment of placing the order and taking into account the applied price increases. 
• The seller reserves the right to charge interest on the amount of any invoice overdue in conformity with the law of the 2nd august 2002 concerning the combat of arrears payments in commercial transactions.
• Any dispute arising out of this agreement shal be settled by the competent courts of  Brussels.
• Specific definitions for Software Training:
  • Every cancellation or modification of the planning within 10 working days before the beginning of the course, will be invoiced according to the contents of the order. 
  • Synaps reserves the right to cancel a calendar training if there are less than three participants. If the new date is not suitable, the enrollment costs will be repaid in full.
  • If the following prerequisites are not respected, the trainer cannot be considered responsable of a lack of quality of the course and/or to have insufficient training qualities :
    • If your infrastructure and/or pedagogic goals are not suited
    • The number of available seats does not correspond with what was set at the planning of the course
    • The number of participants does not correspond with what was set at the planning of the course (as well in your as in our classrooms)
  • For any training without subscription, the invoices are issued as soon as the performance of the order has taken place. In order to be legally correct, any dispute shall be notified by registered mail no later than 5 working days from receipt of invoice.  Any modification of the invoice at a later stage shall result in an additional charge of 90 € for reasons of file costs. Subscriptions are due on a cash basis directly after the command.
• Specific definitions for language training :
  • The first 2 lessons of a subscription are test lessons.  The participants are free to continue their training are not. If they decide to continue, these test lessons will be charged.
  • Postpone a course : when a participant is unable to attend the course, he can postpone the lesson without consequences unless the teacher is informed at least 4 hours in advance
  • Duration of the subscription : except force majeure or special arrangments with Synaps, lessons that are not taken within the determined duration of the « Package » are lost.
  • The lessons are given by fixed telephone lines, unless stipulated otherwise in a written agreement with Synaps.  In case the client wants to work with the GSM, 1€ per session will be charged in case the trainee calls the trainer or 7€ per session in case the trainer calls the trainee on a GSM. 
  • The price of the « package » includes : payment of the trainer, telephone expenses (fixed telephone lines), notes an a grammar test.  The  manual is not included in the price (additional cost : 75 €/pack).
  • The manual will be billed (price 75€) except stipulated otherwise on the moment of the command.  The lump sum includes all written notes (grammar book, vocabulary, texts, etc.) and possible audio-material, and the mailing costs.  The material is valid for every teaching package followed in the same language by the same participant during 2 following years.  In case the courses are transferred to a colleague, the pedagogical material will be rebilled on the same conditions.
